在全球經(jīng)濟(jì)不確定性加劇、產(chǎn)業(yè)格局持續(xù)重構(gòu)的背景下，并購日益成為企業(yè)拓展業(yè)務(wù)邊界、整合關(guān)鍵資源、進(jìn)入新興市場的重要方式。然而，規(guī)模增長并不必然帶來價(jià)值創(chuàng)造，協(xié)同效應(yīng)是否真實(shí)、交易定價(jià)是否合理、并購后的整合能否順利推進(jìn)，往往決定著一項(xiàng)交易的最終成敗。在這一背景下，北大光華-凱洛格國際EMBA項(xiàng)目將于7月31日在北京大學(xué)舉辦全英文公開課，由加拿大女王大學(xué)史密斯商學(xué)院蒙特利爾銀行商業(yè)與金融講席教授王煒教授，以“企業(yè)為何并購？并購背后的邏輯與陷阱”為主題，基于近年來國際知名公司的典型案例，深入解析企業(yè)并購的底層邏輯、價(jià)值來源與常見誤區(qū)。

屆時(shí)，北大光華-凱洛格國際EMBA項(xiàng)目學(xué)術(shù)主任、北京大學(xué)光華管理學(xué)院應(yīng)用經(jīng)濟(jì)學(xué)系王輝教授也將在現(xiàn)場介紹項(xiàng)目概況、課程設(shè)置、報(bào)考條件等權(quán)威資訊。此外，北大光華-凱洛格國際EMBA項(xiàng)目校友衛(wèi)來也將分享她的寶貴經(jīng)驗(yàn)。

Amid growing global economic uncertainty and the continued transformation of industries, mergers and acquisitions have become an important way for companies to expand into new markets, integrate critical resources, and accelerate growth. Yet greater scale does not necessarily create greater value. Against this backdrop, theGuanghua-Kellogg Executive MBAProgramis pleased to announce a Sample Class & Info Session on July 31, 2026, at Peking University.

Professor Wei WANG, Bank of Montreal Professor of Business and Finance at Smith School of Business, Queen’s University,will deliver a sample class titled “Why Do Companies Merge? Understanding the Logic and Pitfalls of M&A.” Building on high-profile cases from global industry leaders, he will explore the underlying rationale, sources of value, and common pitfalls of corporate mergers and acquisitions.

The event will also featureProfessor Hui WANG, Associate Professor of Applied Economics and Academic Director of the Guanghua-Kellogg Executive MBA Program at Guanghua School of Management, Peking University. He will introduce the program’s overview, curriculum structure, and admissions criteria.

Additionally, we are delighted to welcome Lai WEI, an alumna of the GK Program, who will share her valuable learning experience and perspectives.

王煒教授現(xiàn)任加拿大女王大學(xué)史密斯商學(xué)院蒙特利爾銀行商業(yè)與金融講席教授，曾任史密斯商學(xué)院副院長及金融碩士（北京）項(xiàng)目主任。他是并購、企業(yè)重組、破產(chǎn)與金融市場領(lǐng)域的國際知名學(xué)者，研究成果發(fā)表于《Journal of Finance》《Journal of Financial Economics》《Management Science》等國際權(quán)威學(xué)術(shù)期刊，并曾獲Wharton Jacobs Levy Prize等重要獎(jiǎng)項(xiàng)。

王煒教授曾在女王大學(xué)、賓夕法尼亞大學(xué)沃頓商學(xué)院、香港科技大學(xué)及南洋理工大學(xué)等院校，為本科、MBA、EMBA及高管教育項(xiàng)目授課，并合著《Corporate Financial Distress, Restructuring, and Bankruptcy》。他還代表加拿大方創(chuàng)立并主持了女王大學(xué)金融碩士北京項(xiàng)目，并參與推動(dòng)了女王大學(xué)史密斯商學(xué)院與北京大學(xué)光華管理學(xué)院"未來領(lǐng)導(dǎo)者項(xiàng)目"的合作，長期致力于促進(jìn)兩校之間的學(xué)術(shù)交流與合作。

Professor Wei WANG is the Bank of Montreal Professor of Business and Finance at Smith School of Business, Queen’s University in Canada. He previously served as Associate Dean of Smith School of Business and Director of the Queen’s Master of Finance (Beijing) Program. An internationally recognized expert in mergers and acquisitions, corporate restructuring, bankruptcy, and financial markets, Professor Wang has published extensively in leading academic journals, including the Journal of Finance, Journal of Financial Economics, and Management Science. His research has received numerous honors, including the Wharton–Jacobs Levy Prize.

Professor WANG has taught undergraduate, MBA, EMBA, and executive education programs at institutions including Queen’s University, the Wharton School of the University of Pennsylvania, the Hong Kong University of Science and Technology, and Nanyang Technological University. He is also a co-author of Corporate Financial Distress, Restructuring, and Bankruptcy. In addition, on behalf of Queen’s University, he founded and directed the Queen’s Master of Finance program in Beijing and helped advance the partnership of the Future Leaders Program between Queen’s University Smith School of Business and Peking University's Guanghua School of Management. He has long been committed to fostering academic exchanges and collaboration between the two institutions.

She previously served as Senior Finance Director at Perfect World Co., Ltd. and Senior Consultant at PwC Advisory (Shenzhen). She currently holds the positions of Director, Vice President and CFO at Beijing Ourpalm Technology Co., Ltd., a Shenzhen-listed internet technology company. Concurrently, she serves as External Mentor of MPAcc at Beihang University and the University of Chinese Academy of Social Sciences, a North China Committee Member of CPA Australia, and a Member of the Finance & Specialised Committee of the China Association for Public Companies.

王輝，北京大學(xué)光華管理學(xué)院應(yīng)用經(jīng)濟(jì)學(xué)系副教授，北京大學(xué)經(jīng)濟(jì)政策研究所副所長，光華管理學(xué)院首批“日出東方-光華研究學(xué)者”獲得者，教育部青年長江學(xué)者。2010年獲得加拿大多倫多大學(xué)經(jīng)濟(jì)學(xué)博士學(xué)位。研究領(lǐng)域涉及產(chǎn)業(yè)組織，勞動(dòng)經(jīng)濟(jì)學(xué)，發(fā)展經(jīng)濟(jì)學(xué)，以及應(yīng)用計(jì)量經(jīng)濟(jì)學(xué)。其研究論文已發(fā)表在國內(nèi)外一流學(xué)術(shù)期刊上。

Dr. WANG Hui is an Associate Professor of Applied Economics at the Guanghua School of Management, Peking University. He is the Deputy Director and research fellow of the Peking University Institute of Economic Policy, a recipient of the inaugural "Rising with the Sun-Guanghua Research Scholar" award, and a "Young Changjiang Scholar" recognized by China's Ministry of Education. Dr. WANG holds a PhD in Economics from the University of Toronto. His research interests include Industrial organization, Labour economics, Economic development, and Applied econometrics. His research papers have been published in leading academic journals.
